Shareholder and Partner Buyout Disputes in Dubai

Buyout disputes are about process and price: who may buy, at what valuation, by what date and on what payment terms. Where the documents are silent, an expert valuation is the usual route.

How is a fair price decided?

By the formula in the documents if there is one, otherwise by valuation: net assets, maintainable earnings or contracts in hand, depending on the business. A discount for a minority holding may or may not apply. We advise on the basis before you name a number.

What about pre-emption and transfer restrictions?

Many agreements give existing shareholders first right to buy, with notice and timing steps. Missing a step can invalidate a sale. We check compliance on both sides.

What if the other side will not engage?

We assess court options and interim protection, and where a negotiated exit is realistic, prepare a term sheet with security for deferred payment. See dissolution if a clean exit is impossible.
