Which document prevails, the agreement or the MOA?
That depends on how they are drafted and registered. A private shareholders' agreement binds the signatories but may not bind the company in the same way as the Memorandum. We check what each document says on the disputed point and which one the parties relied on in practice.
What are the usual flashpoints?
Decisions taken without a required consent, new share issues that dilute a holder, transfers to third parties, deadlock clauses and valuation formulas. Many disputes turn on whether a notice or valuation step was skipped. Procedure often decides the result.
What can I ask for?
Enforcement of the agreement, damages, an order that a decision is ineffective, or an agreed exit. Interim steps can matter, such as preventing a transfer of shares while the dispute runs. For related issues see minority shareholder oppression.

Can a shareholders' agreement override the MOA?
Not automatically. Their relationship depends on the wording and registration. We analyse both.
What if the agreement was never signed by everyone?
Its effect on non-signatories is limited. Conduct and later documents may still bind them in some respects.
